All individual founders and / or directors must first obtain a Slovenian personal tax number at the Tax administration office. If the founder is a legal entity it must present a registration document (short version) translated into Slovenian language (official court translator). Afterwards, the founders and / or directors can empower somebody else to complete the whole administration procedure.
A newly established company should be entered into the court register of territorial jurisdiction. With entry in the court register, the new enterprise becomes a legal person and acquires the capacity to do business. Applications for the court registration of companies must be filed within 15 days of the adoption of the act of establishment. After submiting the registration the share capital should be paid to the business bank account. Finally, the company's registration must be published in the Offical Gazette within two months after the setting-up.
Company registration can be done most appropriately and completely at one of the notary offices. A simple, free of charge procedure is available even on the internet (in Slovene only) or at many "e-VEM" one-stop service centers but only when using a pre-print standardized Company Statute/Act form.
Government, employers and employees representatives are formally gathered within the Economic and Social Council (ESC). In addition to its advisory role, the ESC has a key role in negotiations, with the social and wage policy agreements under its auspices.
